These Terms & Conditions (“Terms”) govern your access to and use of the website and services provided by Omnivisus LLC (“Omnivisus”, “we”, “our”, “us”). By accessing or using the Services, you agree to these Terms.

1. Who We Are

Omnivisus LLC is registered in the Próspera ZEDE (Zone for Employment and Economic Development) on Roatán, Honduras.

2. Eligibility & Accounts

  • You must be at least 16 to use the Services and at least 18 (or age of majority) to create an account or subscribe.
  • B2B: Agents/agencies who purchase subscriptions represent and warrant they are acting for business purposes.
  • You are responsible for your credentials and for all activity under your account. Keep your information accurate and current.

3. Social Verification

Before submitting a review, you may be asked to verify through a social provider (e.g., Google, Facebook). By using social verification, you authorize us to receive limited data needed to confirm your identity and to link your review to a verified account. See our Privacy Policy for details.

4. User Content & Reviews

  • You retain ownership of your content (e.g., reviews, ratings, photos). You grant Omnivisus a worldwide, non-exclusive, royalty-free, transferable, sub-licensable license to host, store, reproduce, modify (for formatting/display), publish, translate, distribute, publicly perform and display your content to operate, improve, and promote the Services.
  • You represent and warrant your content is accurate to the best of your knowledge, lawful, and does not infringe rights or contain defamatory, deceptive, or harmful material.
  • Prohibited content: illegal content; hate speech; threats; harassment; incitement; explicit sexual content; personal data of others without consent; spam or fake reviews; undisclosed promotional content.
  • We may moderate, refuse, remove, or restrict content at our discretion, including to enforce these Terms, comply with law, or protect users.
  • If you delete your account, we may anonymize your author identity while retaining review content where permitted to preserve platform integrity.

5. Agent/Agency Subscriptions & Paddle

  • Subscriptions for real estate agents/agencies are billed and processed by Paddle, which may act as Merchant of Record and handle payment processing, fraud checks, and tax/VAT.
  • Plans, features, and pricing are presented at purchase. Taxes may apply. By subscribing, you authorize recurring charges until you cancel.
  • Renewals: Subscriptions renew automatically for the then-current term unless canceled before renewal via your account, Paddle’s portal, or links in Paddle receipts.
  • Upgrades/Downgrades: Changes may prorate per Paddle’s terms. Some changes take effect next term.
  • Chargebacks: Unjustified chargebacks may result in suspension. Please contact us first to resolve billing issues.

6. Refund & Cancellation Policy

This section forms our official Refund & Cancellation Policy.

6.1 Cancellations

  • You can cancel at any time from your account or via Paddle’s customer portal/links in your Paddle receipt. Cancellation stops future renewals.
  • Unless otherwise stated, access continues through the end of the already-paid term; the subscription will not renew.

6.2 Refunds

  • B2B Subscriptions: Our Services for agents/agencies are business-to-business digital services. Unless required by applicable law or explicitly stated otherwise, fees are non-refundable once a term begins.
  • We may issue a refund at our discretion in limited cases, including: duplicate charges, fraudulent/unauthorized payment, documented technical failure preventing access after reasonable troubleshooting, or non-delivery of the purchased service.
  • Where we approve a refund, it will be processed by Paddle to the original payment method.

6.3 Cooling-Off (EU)

Because agent/agency subscriptions are purchased for business purposes, EU consumer “cooling-off” rules generally do not apply. If we determine a purchaser qualifies as a consumer under applicable law, we will comply with mandatory rights (which may include limited withdrawal periods), noting that access to digital content/services may begin immediately on purchase and that you acknowledge/agree to such commencement.

6.4 How to Request a Refund

  • Contact us at support@omnivisus.ai with your Paddle order number, subscription email, and reason.
  • You may also reply to your Paddle receipt (Merchant of Record) to initiate a billing inquiry.

6.5 Taxes & Exchange Rates

Prices exclude applicable taxes unless stated. Paddle calculates and remits taxes/VAT where required. Refund amounts (if any) reflect the original currency and exchange rate used by Paddle at the time of purchase.

7. Acceptable Use

  • Do not violate laws; infringe IP or privacy rights; submit fake/paid reviews; scrape without permission; interfere with the Service; upload malware; or attempt to bypass security.
  • Automated access (bots/crawlers) is prohibited without prior written permission and compliance with rate limits/technical controls.

8. Intellectual Property

The Services, including software, designs, logos, and content provided by Omnivisus, are owned by Omnivisus or its licensors and protected by applicable laws. Except as expressly granted, no rights are transferred to you.

9. Privacy

Your use of the Services is subject to our Privacy Policy. Where required by law, we will obtain your consent (e.g., cookies, marketing).

10. Availability & Modifications

We may change, suspend, or discontinue any part of the Services at any time. We may introduce new features or limits. We endeavor to notify material changes.

11. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy of user reviews or uninterrupted availability.

12. Limitation of Liability

To the fullest extent permitted by law, Omnivisus and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the Services; (b) any conduct or content of any user or third party; or (c) unauthorized access, use, or alteration of your content. Our aggregate liability for all claims relating to the Services shall not exceed the greater of (i) amounts paid by you to Omnivisus for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred (100) USD.

13. Indemnity

You will indemnify and hold harmless Omnivisus and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Services, or your violation of these Terms or applicable law.

14. Termination

We may suspend or terminate your access immediately if you breach these Terms, pose a risk to the platform or other users, or as required by law. You may stop using the Services at any time. Sections intended to survive termination will survive.

15. Governing Law & Dispute Resolution (Próspera ZEDE)

These Terms are governed by the laws applicable within the Próspera ZEDE on Roatán, Honduras, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be finally settled by arbitration administered by the Próspera Arbitration Center (PAC) in accordance with its applicable rules. The seat of arbitration is Próspera ZEDE, Roatán, Honduras. The language of arbitration is English. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

16. Changes to Terms

We may modify these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after the effective date constitutes acceptance.
